General Conditions

Xwiz reserves the right to refuse service to anyone for any reason at any time.
Xwiz will provide data that is not checked for its copyright owner/entity. You agree to respect copyright laws applicable to the content in question and use it responsibly. Xwiz will not be responsible for legal conflicts arising from your misuse of the provided data. You are the sole owner of your actions with the data.
Xwiz may utilize some third-party tools to execute your service requirements with your permission. Such third-party tools will neither be monitored nor have any control over them. You acknowledge and agree that Xwiz is not responsible for any issues with the third-party tools that we integrate with our services/products. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Consent to List as Customer

By using the Services, you hereby agree and allow Xwiz.io to use your Name, Brand Name, and Logo for marketing purposes to be published as part of our Clientele list.

Termination

All obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either party. The user reserves the right to terminate the Terms of the Services at any time by notifying us that you no longer wish to use our services or when you cease using our site. We may also terminate the agreement at any time without notice if, in our sole judgment, you have failed, or we suspect that you have failed, to comply with any term or provision of these Terms of Service. Users will remain liable for all amounts due up to and including the date of termination.

Payment Terms; Charges and Taxes

You are responsible for paying any applicable fees as set forth on the pricing and payment terms provided to and agreed upon by you at the time of your order, such as in an email order or invoice, and applicable taxes associated with the Service in a timely manner with a valid payment method. You agree that we may charge you for the selected payment method for any additional fees owed.

User Data

Xwiz shall have no right to resell User Data, except that you agree that Xwiz may use data derived from User Data for the purposes of operating, analyzing, improving, or marketing the Service and any related services.
If Xwiz shares or publicly discloses information derived from User Data, such data will be aggregated to reasonably avoid identification of a specific individual or the User.
You are solely responsible for backing up your User Data on a regular basis and taking appropriate steps to safeguard and ensure the integrity of your User Data.

API Usage

Xwiz offers API as one of the delivery methods for clients to programmatically access our services. The use of API is governed by the same terms and conditions mentioned on this page as part of the services provided by Xwiz. You agree to make reasonable good-faith efforts to ensure that others’ uses of any tools or software you create that use the Xwiz API do not result in any prohibited uses under these Terms of Use. You are allowed to use the API unless the service is terminated by either party.

Ownership; Proprietary Rights

The Service is owned and operated by Xwiz. The products, services, software, API, visual interfaces, graphics, design, compilation, information, computer code, and all other elements of the Service are provided by Xwiz.io. All trademarks, service marks, and trade names are proprietary to Xwiz.io or its affiliates.

Warranty

Except as otherwise specified in these Terms, Xwiz makes no representation, warranty, or guarantee for reliability, timeliness, quality, suitability, truth, availability, accuracy, or completeness of any content or the services.

Indemnification

You agree to indemnify Xwiz and its subsidiaries, directors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or your violation of any law.

Miscellaneous

Waiver: The failure of Xwiz to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Xwiz.
Severability: The unenforceability or invalidity of one or more clauses in this Agreement shall not have an effect on any other clause in this Agreement. If it is possible, any unenforceable or invalid clause in this Agreement shall be modified to show the original intention of the parties.
Assignment: This is the entire agreement between you and Xwiz relating to the subject matter herein and will not be modified except in writing, signed by both parties.
Entire Agreement: This Agreement and the documents referred to herein constitute the entire agreement and understanding of the parties with respect to the subject matter of this Agreement and supersede all prior understandings and agreements, whether oral or written, between or among the parties hereto with respect to the specific subject matter hereof.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of India and the jurisdiction of Ahmedabad, Gujarat

Refund Policy

If you have any concerns regarding the delivery, please report it immediately to the project coordinator and assigned technical lead. If the reported issue has not been resolved, then inform the same to your account manager from the Business Development team. The concerned account manager will surely address your concern.
If the Account Manager also fails to address your concern, then write to us about your concern at sales@xwiz.io. Upon receiving the details of your concern, it is the sole discretion of Management as to whether to provide you with a full refund or partial refund.
While submitting your concern, we request users to claim the refund by mentioning the reason for discomfort. That will enable us to enhance our offering and overcome bottlenecks or problem areas if any.
